As a general musical term, a cover of a song is when you make your own version of a song. For example, a band records all of their own instruments and vocals to remake an existing song.

UTAU covers tend to be vocal-only covers, which reuse the original instrumental instead of recording it from scratch. I'll assume that you're asking how to make your own UTAU project files for vocal only covers, not how to use premade files and not how to make your own instrumentals.

I recommend using a DAW (digital audio workstation). There's many free ones available, or ones with free trials. Create a project with the same tempo as the original song. Put the song on one audio track and line up the timing. Create a midi track with a placeholder instrument (like a piano). On this midi track you'll be tracing the melody of the vocals. Once you're done, export it as a MIDI file and import it into UTAU. Then you can add the lyrics and tune the vocals as usual.
